Annapurna Swadisht to acquire majority stake in Andri Agro Foods for Rs 15 Cr

Annapurna Swadisht Limited has announced plans to acquire a 75 % stake in Andri Agro Foods Private Limited, valuing the transaction at a total enterprise value of Rs 15 crore. The acquisition will be executed through a share purchase agreement with existing shareholders, and upon completion, Andri Agro Foods will become a subsidiary of Annapurna Swadisht Limited. 

The deal is part of Annapurna Swadisht’s strategic growth initiative to broaden its product portfolio and expand into new food categories. Andri Agro Foods is known for producing a wide range of soya-based food products, including soya chunks, soya granules, 3D pellets, and other textured vegetable protein items, catering to the rising demand for protein-rich foods in India and abroad. 

The manufacturing facility of Andri Agro Foods is located in Raniganj, Asansol (West Bengal) and boasts an annual production capacity of 420,000 tonnes across various product lines, supported by Italian and Japanese machinery that ensures consistent quality and scale. The company markets many of its offerings under the ‘So Best’ brand and also provides job-work services to established food companies. 

Annapurna Swadisht plans to leverage its extensive distribution network to enhance the reach of Andri Agro Foods’ products, especially in Eastern India, while also targeting national and international market expansion. The acquisition is expected to improve capacity utilisation, strengthen supply chains, and help deliver competitive pricing and broader market penetration for soya-based and value-added food products. 

Leadership at Annapurna Swadisht has highlighted that this move complements the company’s organic and inorganic growth strategy. The firm aims to not only diversify its product mix but also enter new segments within the grocery and premium snacks markets, potentially unlocking export opportunities for its expanded portfolio. 

This acquisition follows Annapurna Swadisht’s recent expansion through previous deals, including the acquisition of Madhur Confectioners Private Limited, positioning the company for accelerated growth across multiple food and packaged goods categories.
