DSM Fresh Foods acquires majority stake in Avyom

DSM Fresh Foods Limited, the technology-enabled fresh foods platform known for its Zappfresh brand, has taken a major strategic step by acquiring a 51 % controlling stake in Avyom Foodtech Private Limited, signalling a strong move into the ready-to-eat (RTE) and ready-to-cook (RTC) market segments. 

The acquisition will be executed through a cash infusion of approximately Rs 7.5 crore via preferential allotment of shares, as approved by the board of DSM Fresh Foods. The deal not only gives DSM a majority ownership in Avyom but also lays the groundwork for expansion into overseas export markets. 

Avyom Foodtech, incorporated in 2022, is engaged in the manufacturing, processing, and export of RTE and RTC food products, including frozen foods, snacks, gravies and sauces. This investment marks a strategic transition for DSM from a pure fresh foods delivery model to a broader, value-added food solutions business. 

A key feature of the deal involves Avyom’s acquisition of Ambrozia Frozen Foods’ processing business on a going-concern basis through a slump sale, bringing with it a fully operational processing facility spanning around five acres, along with plant and machinery assets that DSM will now leverage in its processed foods push. 

The acquisition also opens the door to potential future investments, with plans to explore bringing in external strategic partners into Avyom through fresh equity issuance, subject to board approvals. 

Market analysts view this development as a strategic inflection point for DSM, broadening its product portfolio to cater to changing consumer preferences for convenient, quality food solutions, and driving long-term growth in both domestic and international markets.
